Job Description
Purpose of the Job
Become a trusted point of contact for a dedicated portfolio of clients, supporting a wide range of corporate governance, legal and company secretarial matters. Working closely with clients, regulators and professional advisers, you'll contribute to the effective management of entities throughout their lifecycle, from incorporation and governance activities through to restructuring and liquidation projects. This role offers excellent exposure to the financial services sector and provides an opportunity to strengthen your expertise in corporate administration, legal documentation, regulatory compliance and client relationship management while working in a collaborative and highly professional environment.
Main Responsibilities
- Support the administration of a portfolio of client entities, helping to ensure corporate governance and company secretarial requirements are delivered accurately and efficiently.
- Draft and review legal and corporate documentation, including resolutions, minutes, agreements and statutory records, with guidance from senior colleagues where required.
- Coordinate board and shareholder meetings, including the preparation of board packs, meeting logistics and post-meeting documentation.
- Build effective relationships with clients, regulators, notaries, lawyers and internal stakeholders to facilitate the smooth delivery of client services.
- Assist with entity incorporations, restructurings and liquidations, ensuring documentation and filings are completed in line with legal and regulatory requirements.
- Maintain accurate corporate records and client files, ensuring information remains current, complete and compliant with internal standards.
- Monitor day-to-day client requests and operational activities, delivering responsive support and escalating matters where appropriate.
- Contribute to a strong culture of compliance by adhering to internal procedures, supporting regulatory obligations and helping to identify and mitigate potential risks.

Qualifications Required
Knowledge, Skills and Experience
- Bachelor's degree in Law, Business Administration or a related discipline; legal, corporate governance or company secretarial qualifications would be advantageous.
- At least 3 years' experience in corporate administration, company secretarial services, fund administration or a similar professional services environment.
- Good understanding of corporate governance principles, entity administration and fund structures, with an interest in working within a regulated financial services environment.
- Strong drafting skills and the ability to prepare legal and corporate documentation with accuracy and attention to detail; AML knowledge would be beneficial.
- Excellent communication and relationship-management skills, with the confidence to engage effectively with clients, colleagues and external stakeholders.
- Strong organisational, problem-solving and time-management skills, supported by sound judgement, attention to detail and proficiency in business systems and Microsoft Office applications.
