Job Description
Purpose of the Job
We are seeking a Senior Corporate Officer to join our Luxembourg Funds team. In this role, you will act as a key point of contact for a dedicated portfolio of clients, supporting them across the full corporate lifecycle of their fund structures while ensuring strong corporate governance and regulatory compliance.
Working closely with clients, internal stakeholders, regulatory bodies, legal advisers, and other external partners, you will play an integral role in delivering high-quality corporate administration services and maintaining excellent client relationships.

Main Responsibilities
- Serve as the primary day-to-day contact for a portfolio of Luxembourg fund clients, building strong and trusted client relationships.
- Support clients throughout the full company lifecycle, including incorporations, ongoing corporate maintenance, restructurings, and liquidations.
- Draft, review, and coordinate a broad range of legal and corporate documentation, ensuring accuracy, quality, and compliance.
- Organise and coordinate board and shareholder meetings, including preparation of board packs, agendas, resolutions, and meeting materials.
- Attend board meetings where required and prepare or review meeting minutes and corporate records.
- Liaise with internal teams, regulatory authorities, notaries, lawyers, auditors, and other third-party service providers to ensure efficient completion of client matters.
- Oversee the execution process for corporate documents, including signature collection and maintenance of statutory records.
- Monitor and coordinate day-to-day client requests, recurring corporate actions, and ongoing governance requirements.
- Ensure mandatory filings and corporate actions are completed accurately and within required deadlines, including submissions to the Luxembourg Trade and Companies Register.
- Maintain compliance with internal policies, procedures, and regulatory requirements at all times.
- Contribute to the continuous improvement of internal processes, controls, and operational practices.
- Provide guidance and support to colleagues where appropriate and assist management with additional projects and priorities as required.
Qualifications Required
- Bachelor's degree in Law, Business Administration, or a related discipline.
- Additional legal, corporate governance, or professional certifications would be advantageous.
- Fluent English language skills, both written and verbal.
- Additional language skills, particularly French or German, would be beneficial.
Knowledge, Skills and Experience
- 2-4 years' experience in corporate governance, corporate administration, or company secretarial services within Luxembourg, ideally with exposure to fund structures and the financial services sector.
- Strong understanding of Luxembourg corporate governance, regulatory requirements, and fund administration practices; AML knowledge would be advantageous.
- Proven ability to draft, review, and interpret legal and corporate documentation while maintaining accurate records and high attention to detail.
- Excellent organisational skills with the ability to manage multiple priorities, meet deadlines, and work independently while recognising when escalation is required.
- Strong problem-solving, communication, and stakeholder management skills, with the confidence to build effective relationships at all levels.
- Proficient in corporate administration systems and Microsoft Office applications, with a collaborative and proactive approach to teamwork.
