Purpose of the Role
Are you an experienced governance leader who thrives in complex, international environments and enjoys partnering with Boards and senior stakeholders to drive best-in-class governance?
Do you combine strategic thinking with operational excellence, bringing the credibility, leadership and judgement needed to influence decision-making at the highest levels of an organisation?
As Group Governance Director, you will play a critical leadership role in shaping and overseeing governance across Ocorian's global legal entity structure. Working closely with the Head of Group Legal & Governance, you will lead the delivery of the Group's governance strategy, ensuring robust governance frameworks, effective board administration and consistent standards across all jurisdictions.
This is a highly visible role offering significant exposure to Boards, Executive Leadership and senior stakeholders across the Group. Acting as a trusted adviser on governance matters, you will champion best practice, drive continuous improvement and help ensure governance remains a key enabler of Ocorian's growth, resilience and long-term success.
Key Responsibilities
Leadership and Management of the Governance Function
- Lead and develop Ocorian's global Governance team, fostering a high-performance culture built on accountability, collaboration and continuous development.
- Provide direction, oversight and resource planning to ensure the effective delivery of governance activities across all jurisdictions.
- Act as the senior operational lead for governance matters, building strong relationships with key stakeholders across the Group.
- Drive capability, succession planning and talent development to ensure the function continues to evolve alongside the business.
Governance Oversight and Entity Administration
- Oversee governance arrangements across Ocorian's global legal entity structure, ensuring consistency, accuracy and adherence to corporate standards.
- Champion the development and implementation of governance frameworks, policies and procedures that support effective decision-making and regulatory compliance.
- Ensure statutory obligations, entity maintenance requirements and governance records are managed to the highest standard across all jurisdictions.
- Promote governance excellence and continuous improvement, driving consistency and best practice across the organisation.
Board and Committee Governance
- Lead the delivery of high-quality board and committee governance, ensuring effective planning, administration and execution of governance activities.
- Partner with Chairs, Directors and Executive stakeholders to support board effectiveness and strong governance outcomes.
- Provide expert guidance on governance obligations, board composition, decision-making frameworks and directors' responsibilities.
- Ensure governance processes support robust oversight, transparency and informed decision-making across the Group.
Risk, Reporting and Escalation
- Provide oversight of governance-related risks, ensuring material matters are identified, assessed and escalated appropriately.
- Deliver meaningful governance reporting and management information to support Boards, Committees and Executive Management.
- Support regulatory reviews, audits and governance assessments, ensuring readiness and alignment with best practice standards.
- Use data, insights and emerging trends to strengthen governance effectiveness and support informed decision-making.
Projects, Transformation and Change
- Lead governance workstreams relating to acquisitions, integrations, restructurings and other strategic business initiatives.
- Drive governance transformation through process enhancement, simplification and the adoption of innovative governance technologies.
- Partner with stakeholders across the business to deliver change initiatives that strengthen governance and operational effectiveness.
- Balance strategic priorities with operational delivery, ensuring governance continues to evolve in support of Ocorian's growth ambitions.

Qualifications Required
Knowledge, Skills and Experience
- Professionally qualified (CGI/ICSA or equivalent) with significant senior-level governance, company secretarial or legal entity management experience gained within financial services or another highly regulated environment.
- Proven track record of advising Boards, Committees and Executive stakeholders within complex, international organisations, bringing strong judgement and credibility to governance decision-making.
- Deep understanding of corporate governance, company law, regulatory obligations and governance best practice, with the ability to translate technical requirements into practical business outcomes.
- Experienced people leader with a demonstrated ability to drive governance transformation, organisational change and continuous improvement while developing high-performing teams.
