Job Description

Purpose of the Job

You will act as the primary day-to-day contact for a dedicated portfolio of clients, primarily Luxembourg Funds. You will support a range of legal, corporate governance, and company administration activities, ensuring high-quality service and compliance throughout the entity lifecycle.

Main Responsibilities

  • Support the full company lifecycle, including incorporations, ongoing corporate administration, governance activities, and liquidations, with guidance from your supervisor.
  • Prepare and maintain legal and corporate documentation, including board minutes, resolutions, shareholder documentation, trade register filings, and other regulatory submissions.
  • Coordinate board and shareholder meetings, prepare board packs, attend meetings alongside your supervisor when required, and draft meeting minutes.
  • Liaise with clients, internal teams, regulators, notaries, lawyers, and other external stakeholders to ensure the timely completion of requests and corporate actions.
  • Manage document execution processes, maintain accurate company records, and ensure files are kept up to date in line with internal procedures and regulatory requirements.
  • Support day-to-day client requests, participate in client calls, and provide general assistance to your supervisor as required.
  • Use internal systems effectively and adhere to Ocorian policies, procedures, and compliance standards at all times.

Qualifications Required
  • Bachelor's degree in Law, Business Administration, or a related discipline. 
  • Fluent in English, both written and spoken. 
  • Additional languages, French or German, would be beneficial.

Knowledge, Skills and Experience

  • 1-2 years' experience in a similar role within Luxembourg, ideally within the funds sector and corporate governance environment
  • Excellent interpersonal and communication skills, with the ability to build effective relationships with clients and colleagues at all levels. 
  • Experience drafting legal and corporate documentation.
  • Strong IT skills and the ability to work confidently with corporate administration systems (for example Board Intelligence or similar) and Microsoft Office applications.
  • Good judgement, problem-solving skills, and the ability to take ownership of tasks while identifying and escalating potential issues where appropriate.
  • High levels of accuracy, diligence, and care when handling client information and maintaining corporate records.
  • Understanding of AML requirements would be an advantage.
