Job Description

Reporting to: HEAD OF CAPITAL MARKETS – Bermuda

Purpose of the job

To provide team and client relationship leadership for the Capital markets service line in Bermuda working in collaboration with the Head of Capital Markets and the Bermuda Executive Management Committee.

Responsibility for leading a team that consistently delivers quality, timely and efficient corporate administration services to local and international companies in the Bermuda insurance and capital markets sectors. Ensuring that service provided aligns with Ocorian core values, global strategy, and industry best practice. In addition, provide administrative leadership and oversight of the client accounting and insurance management team under the legal entity Ocorian Management (Bermuda) Limited (OMBL).

Main responsibilities

  • Manage a team of corporate administrators whose primary responsibilities include:
    • Acting as Secretary or Assistant Secretary to Bermuda client entities.
    • Addressing requests from authorized client representatives for changes to the constitutional documents, share capital, company name, Bye‑Laws and/or other constitutional documents.
    • Arranging for the certification of constitutional documents for client entities.
    • Making applications or notifications to regulators on behalf of client entities.
    • Convening Board of Directors and Shareholders’ meetings for client entities. Ensuring that such meetings are properly constituted with required proxies, quorum, waivers etc.   
    • Advising Board and Shareholder meetings on secretarial matters and taking, drafting, and circulating minutes of such meetings to appropriate parties.
    • Ensuring that annual regulatory and license fees payable in accordance with relevant legislation are collected and remitted to the regulatory authorities for client entities.
    • Ensuring that the corporate records of client entities are current, compliant and in good order.
    • Ensuring that any changes to the regulatory and administrative status of client entities is maintained in Viewpoint on a current basis.
    • Maintaining current billing, contact, and address information for client entities.
    • Posting time recording daily in Ocorian’s time tracking system
    • Ensuring that annual service and variance fee invoices are produced and distributed to clients.
    • Following up on the outstanding accounts receivable for client entities and ensuring that appropriate overdue reminder and suspension of services notices are sent as required
    • Participating in the opening of bank accounts for client entities.
    • Maintaining the Register of Members, Register of Directors and Officers and Minute books.
    • Obtaining and maintaining records of accounts in compliance with section 83(1) of the Companies Act for client entities.
    • Preparing applications for incorporation of all types of Bermuda companies and partnerships.
    • Ensuring that local companies maintain the 60/40 rule and where not maintained, the appropriate license from the regulatory authority is in place.
    • Assisting in compliance monitoring of Capital Markets clients.
    • Other duties that may be assigned from time to time.
  • Assist the Head of Capital Markets in administrative leadership and oversight support for OMBL
    • Timekeeping and time management for OMBL team
    • Client profitability reviews for OMB clients
    • OMBL team management (Circa 11 accountants /accounting assistant)
      • Vacation planning.
      • Performance review
      • Portfolio balancing / rebalancing
    • Billing management for OMBL clients
    • Team building & integration of the Capital markets team in Bermuda
  • Participating in Management meetings, co-representing the Capital Markets Bermuda team.
  • Collaborating with the team leaders to create a co-operative work environment.
  • Directly managing a small portfolio of key CSP client entities.
  • Assisting to establish, monitor and report key performance indicators (KPI’s) for team and for internal and external Service Level Agreements (SLA’s), for CSP related services.
  • Identifying training needs of capital markets staff and delivering or facilitating delivery of required training, with emphasis on insurance, corporate governance, and relevant regulatory updates.
  • Lead client relationship management of Capital Markets CSP clients.
  • Providing team leadership and promoting an atmosphere of cooperation, teamwork, and support.
  • Managing vacation and other planned and unplanned absences within the Capital Markets team to ensure that there is no disruption to service to clients.
  • Participating in management committees if requested.
  • Preparing reports for management and service line leadership as appropriate.
  • Monitoring chargeable vs non-chargeable time of team members and working with management and service line leadership to improve profitability.
  • Mentoring Trainee Corporate Administrators, Junior Corporate Administrators and Corporate Administrators.
  • Monitoring and ensuring that team members are assigned balanced portfolios, and receiving required “on the job” training, adequate technical support, and appropriate supervision.
  • Setting annual goals and objectives for each team member and monitoring progress on a quarterly basis, as part of the overall performance appraisal process.
  • Identifying and recommending seminars, workshops, lunch and learn sessions, and work-related courses in support of the continued professional development for the Capital Markets CSP team.
  • Assisting in the preparation and filing of Economic Substance Declarations for client entities.
  • Monitor head count requirements for the Capital Markets team and assist in the recruitment of team members where necessary.
  • Performing any such other activities as may be reasonably required by the role.
Qualifications Required
  • Membership in the Institute of Chartered Secretaries and Administrators (e.g., ACIS or FCIS); or a university degree in a relevant discipline together with at least 12 years’ corporate administration experience.
  • Completion of Corporate Secretarial Practice 1 & 2.
  • A commanding knowledge of the Companies Act, 1981 and statutory regulations relating to the administration of companies in Bermuda.
  • A sound working knowledge of:
    • the Insurance Act 1978 and related regulations.
    • the Economic Substances Act 2018 and related regulations.
    • the Bermuda Corporate Service Provider Act.
    • Bermuda AML/ATF Legislation.
  • Proven problem-solving abilities in the administration of insurance and non-insurance companies in Bermuda.
  • Proficiency in the use of the Microsoft Office suite of applications, specifically MS Word.
  • Proficiency in NAVONE and Viewpoint will be an asset
  • Working knowledge of Integra and other relevant regulatory filing systems in Bermuda.
  • Proven demonstration of strong leadership and coaching skills.
  • Excellent written and oral communication skills.
  • Excellent client relationship, organizational and time management skills.
  • Experience in team building.
  • Excellent interpersonal skills.
  • Basic ability to read analyse and understand financial statements, contracts, and other legal documents.
