Job Description

Purpose of the role 

Reporting to the Client Director, the role of the Corporate Administrator is to provide quality corporate administration services to a portfolio of local and international companies primarily in the insurance sector.

  • Secretarial duties — Act as Secretary or Assistant Secretary as required.
  • Document amendments — Process authorized changes to constitutional documents, including share capital updates, name changes, and Bye‑Law amendments.
  • Meetings and minutes — Convene Board and Shareholder meetings, attend as needed, advise on secretarial matters, take minutes, and circulate them.
  • Regulatory filings — Ensure timely filings, including economic substance, beneficial ownership, annual returns/government fees, and director/officer changes.
  • Corporate records — Maintain current, compliant corporate records and update regulatory/administrative status in Viewpoint.
  • Client data — Maintain accurate billing, contact, and address information.
  • Time recording — Complete accurate daily timesheets.
  • Invoicing — Produce and distribute annual and variance fee invoices.
  • Incorporations — Assist with applications to incorporate Bermuda companies and partnerships.
  • KYC reviews — Perform periodic client reviews to ensure KYC compliance with Bermuda regulations.
  • General administration - Support client administration, including bank account openings, maintaining registers, minute books, and financial statements/management accounts.

Qualifications Required
  • Education & experience — University degree or equivalent, with at least 5 years’ corporate administration experience (or an equivalent combination).
  • Professional membership — ACIS/FCIS membership preferred.
  •  Working knowledge of the Companies Act 1981 and related statutory regulations.
  •  Knowledge of the Insurance Act 1978, Economic Substance Act 2018, and Beneficial Ownership Act 2025 is an asset.
  • Experience with insurance companies or other regulated entities is an asset
