Job Description
Main Responsibilities
- Maintaining a portfolio of clients.
- Ensuring compliance with corporate governance codes, principles of best practice and company secretarial procedures.
- Liaising with Board members and other relevant parties regarding meeting arrangements. Convening, attending board and committee meetings.
- Preparing notices, proxies and other supporting documents for General Meetings, including liaison with relevant legal advisors.
- Ensuring that statutory filings and payment of relevant fees are completed within statutory time frames.
- Managing statutory and regulatory filings with Companies House, the Guernsey Registry and The International Stock Exchange (TISE).
- Preparing and submitting Register of Overseas entities (ROE) filings and Annual Validation (AV) filings.
- Ensuring that databases and Entity Management Systems are maintained in accordance with agreed procedures.
- Maintaining the Company Secretarial Meeting Planner and Calendar.
- Assisting in co-ordinating Company Secretarial aspects of new client take-on procedures.

Qualifications Required
- Chartered Secretary qualification (e.g. CGI or equivalent) or 5+ Years experience is essential.
- Bachelor’s degree in Law, Business, Governance, or related discipline.
- 2–5 years of experience in a company secretarial role, ideally in financial services or a regulated environment.
- Satisfactory knowledge of corporate law, governance standards, and regulatory obligations across multiple jurisdiction.
