Job Description
Purpose of the role
Assist with the provision of company secretarial services to a designated number of global funds clients. You will take an active role in providing company secretarial services to support existing, new and prospective funds as part of a two-year training programme alongside study for the MSc in Management and Corporate Governance (“MSc”).
The role located in the Belfast office is permanent, working hours will be adapted around required study and requires a current student of the MSc. A comprehensive training programme will be provided with the opportunity for growth within the business with that post-completion of the two-year programme there is the potential of a promotion to Company Secretary. The successful candidate should be a fast learner and willing to develop their knowledge.
Main Responsibilities
- Completing statutory filings and fee payments within required deadlines.
- Preparing and circulating agendas, board packs, and meeting materials on time.
- Drafting agendas, notices, proxies, and documents for General Meetings.
- Preparing announcements and handling stock exchange and listing-related filings.
- Managing proxy dispatch and collection, and ensuring meeting quorums.
- Liaising with external Registrars to coordinate proxy collation.
- Coordinating meeting logistics and ensuring compliance with formal requirements.
- Assisting with drafting Board and Committee minutes and gathering team feedback.
- Supporting entity set‑ups, maintaining company records, and managing secretarial systems.
- Supporting fund launches, governance processes, resolutions, and accurate document filing.
Qualifications Required
Knowledge, Skills and Experience
- Hold a degree-level qualification and be working toward, or willing to work toward, CGI membership or an equivalent Corporate Governance postgraduate qualification.
- Experience of working within restricted timeframes.
- Quick to develop strong knowledge of Ocorian’s services and the practical considerations involved in delivering them.
- Strong written, verbal, and presentation skills.
- High level of accuracy and attention to detail.
- Excellent organisational and planning abilities, including the capacity to prioritise what is important versus what is urgent.
