Purpose of the job

As a member of the global legal function, this role will involve taking responsibility for certain legal matters of the Ocorian Group.  It will involve the provision and implementation of expert and strategic legal advice to all divisions and jurisdictions in which Ocorian operates, whilst mitigating and managing legal risks for the business.

Main Responsibilities

  • Legal advisory related to clients, suppliers and group entities (structure, agreements, enforcement), corporate, commercial contracts, data protection matters, employment matters, property matters, M&A including high-level support in business integration, tax and regulatory & compliance matters.
  • Manage legal matters for the Ocorian Group across all jurisdictions in which we operate from start to finish which may involve any or all of the following: taking instructions, determining the appropriate course of action, managing timelines and people's expectations re completion, reviewing and drafting legal documents, negotiating agreements, managing input from experts and the business, seeking sign-off from the relevant parties, dealing with execution or providing a final legal opinion as appropriate.
  • Draft, and negotiate, local and cross-border client and third-party vendor agreements and ancillary documentation (including, but not limited to, fund administration agreements, depositary agreements, trust administration agreements, supplier terms and conditions, NDAs, intragroup and outsourcing agreements, IT / software agreements etc).
  • Respond to legal queries from operational / support functions, internal control/support groups, client integration/client services teams, senior management and entity boards, all concerning client engagement agreements, vendor agreements, inter-group agreements, applicable laws and regulatory matters.
  • Develop and sustain a broad technical legal knowledge across a wide range of services and business areas to ensure internal clients are provided with practical legal advice.
  • Ensure internal clients' needs (and those of their end clients) are understood fully. Work with specialists and support staff to ensure that the internal and/or end client proposition is effectively translated and fulfilled.
  • Assist with, and if necessary manage, projects and new business initiatives.
  • Coordinate the ongoing maintenance and development a repository of legal precedents in response to legal, regulatory, operational and market developments.
  • Providing remediation / mitigation solutions on client matters.
  • Providing legal input in relation to contentious client matters.
  • Oversee the work of the other members of the global legal function.
  • Monitoring and interpreting legal events and developments to identify potential impacts to Ocorian and actively sharing knowledge.
  • Contributing to the formulation / update of Group Policies and procedures from a legal perspective.
  • Assisting with disputes and litigation to resolve in an effective manner.
  • Provide legal training to internal stakeholders as may be required.
  • Establish and maintain good working relationships with all key stakeholders and external counsel.
  • Work closely with the Head of Legal and be the lead global legal point of contact for the global legal function in their absence.

Qualifications Required

Knowledge, Skills & Experience

  • Qualified Solicitor or Barrister in Jersey, UK or the Commonwealth with 8+ years PQE.
  • Experience in advising on a broad range of general corporate & commercial matters.
  • Mix of professional experience as in-house counsel (ideally) in a financial services business and legal experience in a top tier law firm with international clients.
  • Strong legal experience in a mix of corporate, commercial, data protection, investment funds, trusts, regulation and financial services law, with an ability to upskill and learn new areas of law and regulation.
  • Ability to manage a wide range of legal matters.
  • Experience in providing commercial and practical legal advice.
  • Ability to draft, review, and interpret complex arrangements and/or documents to minimize risks and maximise legal rights.
  • Ability to articulate clear advice, with a commercial focus and high quality written and verbal communication.
  • Extensive technical knowledge with a comprehensive understanding of local legislation, regulation and relevant codes of practice.
  • Excellent interpersonal, communication and organisational skills.
