Job Description

To be the first point of client contact on day to day matters and amongst others will be responsible for legal and corporate governance issues for a dedicated clients portfolio (mainly Luxembourg Funds). 

Main responsibilities 

  • Assisting clients to prepare/review draft and legal documents, from A-to-Z full company life cycle
  • To conduct any (investment) transactions of the Clients’ entities
  • When required, take Directorship mandates
  • Help with the AML/CFT aspects of the funds : assets DD,… (when GP registered) and any other RC matters (policy to put in place, risk appetite, risk assessment and any RC report required)
  • To administer a portfolio of Clients, including more complex, demanding cases and to ensure all activities fall within the market Regulations and corporate governance of the Clients’ entities
  • Dealing with incoming emails/correspondence on a daily basis in an efficient manner, from Clients and any related third-parties
  • Liaising with internal parties and also authorities, notaries, lawyers and any other external parties 
  • Preparation/review of board packs, coordination of board and shareholder meetings
  • Attendance at client board meetings and preparation/review of minutes 
  • Provide assistance in the context of constituting new entities and liquidations, and also draft/review legal documentation  
  • Ensuring the supervision of the following-up of the day-to-day recurrent operations, client requests and attending the periodic clients’ calls 
  • Ensuring adherence to the use of internal tools and compliance with Ocorian policies and procedures at all times and participate in their ongoing development 
  • Coordinating the audit process with the different departments and the auditors, and responsible for the annual accounts approval and filing with the relevant authorities
  • Ensuring that RCS/RBE extracts are up to date and reflect the entities’ status
  • Managing the billing process: issue invoices, send them to clients, and control settlement
  • Carry out any function/activity required by the supervisor or the Head of Department from time to time
  • Assisting the supervisor and the Head of Department, providing daily support as requested. This will include but may not be limited to:
  1. Being aware of risk exposure and ensuring Risk/Review procedures are followed at all times
  2. Being aware of the need for professional advice and have a good understanding of local Regulatory matters
  3. Escalating any issues/risks arising promptly to the supervisor or other members of the management team including Authorized Managers where appropriate
  • Managing a team of more junior members

Qualifications Required
  • Master's degree in law/business administration (at least) and/or experience as -manager / any other training certifications in the legal field will be a strong advantage in your application. 
  • Fluency in English (written and oral), with any other language (French, German,…) being considered as an advantage 
  • 5+ years of experience in the same field in Luxembourg (fund’s sector, in particular in corporate matters) 
  • People management skills required
  • The ability to work independently and capable to prioritise tasks as appropriate 
  • The ability to work under a certain level pressure and meet deadlines 
  • Strong organisational and time management qualifications, attention to details and ability to work methodically and accurately 
  • Flexibility, energy and enthusiasm 
  • Team spirit 

Knowledge, Skills and Experience 

  • Professional manner, demonstrating excellent interpersonal skills and the ability to communicate effectively with clients and colleagues at all levels 
  • Comprehensive understanding and technical knowledge of funds’ administration, Luxembourgish Law 
  • Strong interest in financial services/working within a regulated environment (CSSF) 
  • AML knowledge will be an advantage 
  • Strong IT skills 
  • Ability to draft and review legal documents 
  • Ability to take responsibility for the completion of tasks while staying alert to potential issues that need to be disclosed to the supervisor 
  • Diligence and care in all aspects of the job, in particular with regard to client data and the maintenance of records 
  • Problem solving – being able to review the situation and determine an alternative course of action to achieve the desired goal
